Terms of Service
Article 1 (Application)
- These Terms establish the rights and obligations between the Operator and Users of the Service.
- The Service is a knowledge management platform that enables organizing and sharing information using various content types such as pages, tables, slides, views, graphs, and dashboards.
- Rules and guidelines posted by the Operator on the Service shall constitute part of these Terms.
- In the event of any conflict between these Terms and such rules, the provisions of these Terms shall prevail unless otherwise specified.
Article 2 (Definitions)
The following definitions apply to terms used in these Terms:
- "Service Agreement" means the agreement for the use of the Service concluded between the Operator and the User based on these Terms.
- "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including rights to acquire such rights or to apply for registration thereof).
- "Posted Data" means content submitted, sent, uploaded, or otherwise transmitted by Users through the Service (including but not limited to pages, tables, slides, views, graphs, dashboards, folders, text, images, files, comments, and other data).
- "Content" means the general term for information that can be created and managed in the Service, including pages, tables, slides, views, graphs, and dashboards.
- "Plan" means each of the usage plans: Free, Light, Standard, and Business.
Article 3 (Registration)
- Anyone wishing to use the Service (hereinafter "Applicant") shall apply for registration by the method prescribed by the Operator, agreeing to comply with these Terms. Registration methods include email and password, or OAuth authentication using Google, X (formerly Twitter), or GitHub accounts.
- The Operator may refuse registration if the Applicant falls under any of the following:
- When the Operator determines there is a risk of violating these Terms
- When registration information provided to the Operator contains false, incorrect, or incomplete information
- When the applicant has previously had their use of the Service suspended
- When a minor (under 18) has not obtained parental consent
- When the Operator otherwise determines that registration is inappropriate
Article 4 (Account Management)
- Users shall register and manage their registration information (hereinafter "Registration Information") at their own responsibility. Users shall not allow third parties to use, lend, transfer, change the name of, or sell their Registration Information.
- When the Service is used with Registration Information, the Operator may treat such use as being by the registered User, and all consequences and responsibilities arising from such use shall belong to the registered User.
- If unauthorized use of Registration Information causes damage to the Operator or third parties, the User shall compensate for such damage.
- Management of Registration Information shall be the User's responsibility, and the Operator shall not be liable for any disadvantage or damage suffered by the User due to inaccurate or false Registration Information.
- If Registration Information is stolen or found to be used by a third party, the User shall immediately notify the Operator and follow the Operator's instructions.
- The Service provides two-factor authentication (TOTP) and session management features. Users are encouraged to use these security features to enhance account safety.
Article 5 (Usage Fees)
- The Service offers four plans: Free (free forever), Light (980 yen/month), Standard (from 2,980 yen/month), and Business (from 10,000 yen/month). For plan details, please see thepricing page.
- The Free plan is free forever but has limitations on storage capacity, AI features, content creation limits, member count, etc.
- Paid plan fees are generally monthly. Payment shall be made using the payment service (Stripe) designated by the Operator. Credit card information is not stored by the Service and is securely managed by Stripe.
- Standard and Business plan fees vary based on the number of units (team members and storage capacity).
- If a User is late in paying usage fees, the Operator may claim late payment damages at a rate of 14.6% per annum.
- Plan changes can be made at any time from the settings page. Upgrades take effect immediately, downgrades apply at the next renewal.
- Refunds are generally not available. However, exceptions may apply when the Operator cannot provide the service due to its own circumstances.
Article 6 (Content Visibility)
- Users can set the visibility scope for each piece of content. There are three visibility types: "Public," "Team," and "Private."
- Content set to "Public" will be viewable by anyone on the Internet. Users can further choose from "Listed," "Unlisted (link sharing only)," or "Profile only" publication settings.
- Content set to "Team" can only be viewed by members of the same team or organization.
- Content set to "Private" can only be viewed by the creator.
- Additional access restrictions (login required, followers only, password protection) can be set on content.
- Users are responsible for their visibility settings. The Operator is not liable for information unintentionally made public.
Article 7 (AI Features)
- The Service provides AI features (content quality analysis, safety checks, semantic search, etc.). AI feature usage is subject to token limits based on the User's plan.
- AI features are provided using external AI services (OpenAI). Data sent to these services is not used for AI model training.
- AI analysis results are for reference purposes only, and their accuracy and completeness are not guaranteed.
Article 8 (Reputation Score)
- The Service provides a feature that calculates and displays a reputation score (Memoreru Score) based on user activity and a content quality score.
- The reputation score is calculated by comprehensively evaluating content quality, activity frequency, continuity, engagement, community contribution, and other factors.
- The score may affect content display order and in-service features.
- The scoring methodology may be changed as the service is improved.
Article 9 (Prohibited Activities)
Users shall not engage in the following activities when using the Service:
- Activities that violate laws or public order and morals
- Activities related to criminal acts
- Activities that destroy or interfere with the server or network functions of the Operator, other users, or third parties
- Activities that may interfere with the operation of the Service
- Collecting or accumulating personal information about other users
- Unauthorized access or attempted unauthorized access
- Impersonating other users
- Commercial activities not authorized by the Operator, or preparatory activities therefor
- Activities that cause disadvantage, damage, or discomfort to other users or third parties
- Activities intended to harass or defame other users
- Activities that infringe on intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of other users or third parties
- Providing benefits to or cooperating with anti-social forces
- Religious activities or solicitation for religious organizations
- Posting or transmitting content containing excessively violent expressions, explicit sexual content, or discriminatory expressions
- Spam activities or activities requesting the spread of information to third parties such as chain mail
- Automated access to the Service (bots, crawlers, etc.) without the Operator's permission
- Unauthorized collection of content by AI crawlers (when the user has not enabled permission settings)
- Other activities deemed inappropriate by the Operator
Article 10 (Handling of Posted Data)
- Copyright and other intellectual property rights in Posted Data belong to the User (creator). Use of the Service does not transfer the User's copyright to the Operator.
- Users represent and warrant to the Operator that they have the legal right to post or otherwise transmit Posted Data, and that Posted Data does not infringe on third-party rights.
- Users grant the Operator a license to reproduce, display, and distribute Posted Data to the extent necessary for providing and operating the Service. This includes content display, search index creation, backups, thumbnail and OGP image generation, etc.
- The Operator may suspend publication of or delete Posted Data without prior notice to the User if it determines that the Posted Data falls under any of the following:
- When it violates these Terms
- When it violates laws
- When it is contrary to public order and morals
- When it infringes on the rights of the Operator, other users, or third parties
- When deemed inappropriate by AI safety checks
- When the Operator otherwise deems it inappropriate
- When publication is suspended based on the preceding paragraph, the Operator shall endeavor to notify the User of the reason. Users may raise objections through the method prescribed by the Operator.
Article 11 (Disclaimer of Warranty and Limitation of Liability)
- The Operator makes no warranty that the Service is suitable for the User's specific purposes, has expected functionality, commercial value, accuracy, or usefulness, complies with applicable laws or industry regulations, or is free of defects.
- The Operator shall not be liable for any damages suffered by Users in connection with the Service, including interruption, suspension, termination, unavailability, or changes to the Service, deletion or loss of messages or information, cancellation of registration, loss of data, or equipment failure or damage.
- Users shall resolve any transactions, communications, or disputes arising between Users and other users or third parties in connection with the Service at their own responsibility.
Article 12 (Changes, Suspension, and Termination of Service)
- The Operator may change or add to all or part of the Service without prior notice to Users.
- The Operator may suspend or interrupt all or part of the Service without prior notice to Users in any of the following cases:
- When urgent inspection or maintenance of the Service's computer systems is required
- When the Service cannot be operated due to computer or communication line failures, operational errors, excessive access concentration, unauthorized access, hacking, etc.
- When the Service cannot be operated due to force majeure such as earthquakes, lightning, fire, floods, power outages, or natural disasters
- When the Operator otherwise determines that suspension or interruption is necessary
- The Operator may terminate the Service at its convenience. In such case, the Operator shall notify Users in advance.
Article 13 (Usage Restrictions and Registration Cancellation)
- The Operator may, without prior notice, delete Posted Data, restrict all or part of the User's use of the Service, or cancel the User's registration if the User falls under any of the following:
- When the User violates any provision of these Terms
- When false information is found in the Registration Information
- When payment is suspended or becomes impossible, or when a petition is filed for bankruptcy, civil rehabilitation, corporate reorganization, special liquidation, or similar proceedings
- When there is no response for 30 days or more to inquiries or other communications requesting a response from the Operator
- When the Operator otherwise determines that use of the Service is inappropriate
- If any of the items in the preceding paragraph apply, the User shall automatically lose the benefit of time for all debts owed to the Operator and shall immediately pay all debts to the Operator.
Article 14 (Withdrawal)
- Users can request account deletion from the settings page. Account deletion requires identity verification through password confirmation and email verification.
- After account deletion, the User's Posted Data and personal information will be promptly deleted, except for information required to be retained by law.
- The handling of user information after withdrawal shall be governed by the Privacy Policy.
Article 15 (Intellectual Property Rights)
- All intellectual property rights related to the Service belong to the Operator or those who have licensed the Operator, and the use of the Service under these Terms does not constitute a license to use the intellectual property rights related to the Service.
- Users represent and warrant that they have the legal right to post or otherwise transmit Posted Data.
- "Memoreru" is a registered trademark of the Operator (Japan Trademark Registration, Class 9 and Class 42, Registration No. 7037589). Users may not use the Operator's trade name, trademarks, logos, or service marks without the Operator's prior written permission, except for legitimate purposes such as citation, news reporting, or reviews.
Article 16 (Changes to Terms of Service)
- The Operator may change these Terms at its discretion in the following cases:
- When the change is in the general interest of Users
- When the change does not conflict with the purpose of the contract and is reasonable in light of the necessity of the change, the appropriateness of the changed content, and other circumstances
- When changing these Terms, the Operator shall display on the Service, or notify Users by email, the intent to change these Terms, the content of the changed Terms, and the effective date, at least 30 days before the effective date.
- If Users use the Service after the effective date of the changed Terms, they shall be deemed to have agreed to the changes.

Article 18 (Governing Law and Jurisdiction)
- These Terms shall be governed by the laws of Japan.
- In the event of any dispute arising in connection with the Service, the Tokyo District Court shall be the exclusive agreed court of first instance.
